TERMS OF SERVICE

These Terms of Service ("Terms") constitute a legally binding agreement between you and EVDC ENERGY LLC, together with its affiliates, subsidiaries, and service providers (collectively referred to as “EVDC,” “we,” “us,” or “our”).

For the purposes of these Terms, “you” or “your” refers to any individual or business entity accessing or using the EVDC website, mobile application, EVDC Wallet, EVDC RFID cards, EVDC EARN or host services, billing/payment processing, or any participating EV charging equipment (collectively, the "Services").

Please read these Terms carefully. By creating an account, accessing the EVDC platform, purchasing our products, activating an RFID card, funding your EVDC Wallet, or initiating a charging session, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. CONTRACTUAL RELATIONSHIP & CHANGES

  • The Role of EVDC: EVDC is an electric mobility service provider (eMSP). We enable drivers to locate, access, and pay for charging sessions. Unless explicitly stated otherwise, EVDC does not own, operate, or maintain the physical charging stations displayed in our application; these are managed by independent third-party Charging Point Operators (CPOs).
  • Additional Terms: Specific promotions, hardware purchases, or host programs may be subject to additional terms, which are incorporated into this agreement by reference.
  • Modifications: EVDC reserves the right to update these Terms at any time. Changes become effective immediately upon posting to our website or app. Your continued use of the Services after an update constitutes binding acceptance of the revised Terms.

2. USER ACCOUNTS

  • Eligibility: You represent that you are at least 18 years old (or the age of legal majority in your jurisdiction) and possess the legal capacity to enter into this agreement. If acting on behalf of an entity, you warrant that you have the authority to bind that entity.
  • Account Types: 

Registered Accounts: Created via email/password or third-party login (Google, Apple).

Guest Accounts: Temporary guest access is permitted. However, payment history, charging records, and invoices associated with guest accounts may be permanently deleted after a standard retention period.

Note: Creating a new account or using different login methods (e.g., logging in via Google vs. Apple) creates separate accounts; balances, RFID cards, and charging histories cannot be automatically merged.

  • Security & Responsibility: You are solely responsible for restricting access to your devices, keeping your account password secure, and protecting any physical RFID cards. EVDC will treat any activity, payment, or session initiated under your account credentials or RFID card as authorized by you.
  • Suspension & Termination: EVDC may suspend or terminate your account at our sole discretion for outstanding debts, reversed payments/chargebacks, suspected fraudulent activity, system tampering, or if your continued access creates an operational or security risk. You remain liable for all valid charges incurred prior to suspension.

3. ACCESS CREDENTIALS & RFID CARDS

  • Activation: Physical EVDC RFID cards must be fully activated and linked to an active EVDC account prior to use. The physical card itself does not store a monetary balance; all transactions are charged to the payment method set up in your linked account.
  • Loss & Misuse: You must immediately notify EVDC support if your RFID card is lost, stolen, or used without authorization. EVDC is not liable for unauthorized charges incurred before you report the card as lost.
  • Delivery: Estimated delivery dates for physical RFID cards are non-binding. EVDC is not responsible for shipping delays resulting from customs clearance, courier errors, or circumstances beyond our reasonable control.

4. EV CHARGING SERVICES

  • Station Information: App-displayed data—including station locations, real-time availability, connector types, power ratings, and pricing—is supplied by third-party CPOs. While we endeavor to keep this data accurate, transmission delays can occur. A station listed as "available" may be occupied, offline, or broken by the time you arrive.
  • Initiating a Session: You are responsible for ensuring that the station identifier and connector selected in the EVDC app match the physical equipment you are plugged into before starting a session.
  • Failed & Pending Sessions: A session request may fail or remain pending due to network timeouts, CPO rejection, insufficient wallet balances, or hardware errors. Where a CPO fails to transmit a session termination record, the session may remain pending in our system until a timeout threshold is reached.
  • Ending a Session: Sessions are normally ended via the app, your RFID card, your vehicle, or the physical station interface. EVDC cannot remotely stop a third-party station session if the CPO's system fails to communicate with our platform.
  • Host Rules & Idle Fees: You must comply with all local property parking rules and operating hours. CPOs may charge idle, occupancy, or parking fees if your vehicle remains connected to a station after charging has finished. You are solely responsible for these fees, as well as any independent parking tickets or towing costs.
  • Locked Cables & Malfunctions: If a cable remains locked in your vehicle or a station malfunctions, follow the on-site physical instructions or contact the CPO's support directly. For third-party stations, the CPO is often the only entity capable of remotely releasing a locked cable.

5. PRICING & PAYMENTS

Applicable Tariffs: Charging rates are displayed in-app before you begin. Prices vary based on CPOs, geographic regions, charging speeds, times of day, and your selected payment method (e.g., directly via card vs. utilizing an EVDC Wallet balance).

Credit/Debit Pre-Authorizations: When paying directly via credit or debit card, EVDC or its payment processors may place a temporary pre-authorization hold on your card to verify funds. This hold is adjusted to the final session amount and released after the transaction is settled. We are not responsible for bank delays in releasing these holds.

EVDC Wallet: The EVDC Wallet is a stored-value tool allowing you to maintain balances in supported fiat currencies or digital assets. Balances are held separately and cannot be merged or combined to meet minimum balance requirements.

Minimum Balance: EVDC may require a minimum wallet balance before allowing a session to start.

Top-Ups & Refunds: Wallet top-ups may be subject to processing fees. Monetary refunds of unused, non-promotional wallet balances are subject to rigorous identity verification and anti-money laundering (AML) checks.

EVDC Tokens: Payments made using EVDC Tokens are subject to volatile asset fluctuations and irreversible blockchain network fees ("gas"). EVDC makes no representations regarding the future valuation, liquidity, or legal classification of EVDC Tokens.

Collection of Debts: If a transaction is declined, EVDC reserves the right to restrict your charging access, apply fallback processing fees, deduct the amount from any available wallet balance, and pursue legal remedies to recover outstanding debts, including reasonable collection fees.

6. PROHIBITED USER CONDUCT

To ensure the safety of our network, you agree not to:

  • Damage, dismantle, or attempt unauthorized repairs on any physical charging hardware.
  • Use uncertified, unsafe, or incompatible charging adapters or cables.
  • Obstruct parking access to charging stations or leave non-charging vehicles in designated EV stalls.
  • Reverse-engineer, scrape, copy, or overload the EVDC mobile app, website, or backend servers.
  • Use stolen payment information or engage in abusive billing chargebacks.
  • Create duplicate accounts to systematically exploit promotions, discounts, or referral programs.

7. PHYSICAL PRODUCTS & EQUIPMENT SALES

Installation: Any EVDC physical charging equipment or hardware purchased for home or commercial use must be installed by a licensed, certified electrical professional in strict compliance with local building codes, safety standards, and manufacturer specifications.

Warranty Limitations: EVDC is not liable for hardware damage caused by improper installation, power surges, unauthorized modifications, lack of maintenance, vandalism, or normal wear and tear.

Host Program Precedence: Where an EVDC revenue-sharing or host-property agreement is signed, the terms of that specific bilateral contract will prevail over these general Terms of Service in the event of a conflict.

8. DISCLAIMERS, LIMITATION OF LIABILITY & INDEMNIFICATION

Disclaimer of Warranties To the maximum extent permitted by law, our Services and products are provided on an "as-is" and "as-available" basis. EVDC expressly disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, safety, and non-infringement.

Limitation of Liability Under no circumstances shall EVDC, its officers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to, lost profits, lost business opportunities, travel delays, missed appointments, alternative transportation costs, towing charges, lodging costs, or physical damage to your vehicle arising from your use of the Services or defective third-party stations.

For claims directly related to a specific charging session, EVDC's total liability will not exceed the amount actually paid by you for that session. For all other claims, EVDC's aggregate liability shall not exceed the total amount paid by you to EVDC in the six (6) months preceding the event giving rise to the claim, or the minimum statutory limit allowed by local law (whichever is higher).

Indemnification: You agree to defend, indemnify, and hold harmless EVDC and its affiliates against any third-party claims, liabilities, losses, damages, and expenses (including reasonable attorney fees) arising from your unlawful use of our Services, damage to physical equipment, use of incompatible adapters/vehicles, fraudulent activity, or material breach of these Terms.

9. GENERAL LEGAL PROVISIONS

Force Majeure: EVDC is not responsible for any delay or failure in performance resulting from events beyond our reasonable control, including natural disasters, grid failure, telecommunications outages, cyberattacks, payment network disruptions, or CPO system offline periods.

Governing Law & Jurisdiction: These Terms are governed by the laws of Pennsylvania, United States, without regard to conflict of law principles.

  • If acting as a consumer, you may have mandatory consumer rights and may bring disputes before the courts of your country of residence.
  • If acting in a business capacity, the courts of Pittsburgh, PA shall have exclusive jurisdiction over any dispute.
  • Severability: If any provision of these Terms is deemed invalid or unenforceable, that specific provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Language & Translation: These Terms may be translated into multiple languages. In the event of any conflict, discrepancy, or interpretation dispute between translations, the English version shall prevail.
  • Electronic Communications: You consent to receive all billing, transactional, operational, and legal communications from EVDC electronically (via email or in-app notifications).
